Terms & Conditions

Last updated: [date of publication]

These terms apply to AI Master Club memberships for members in Australia and New Zealand, including memberships bought through aimasterclub.com.au, aimasterclub.au and aimasterclub.co.nz (the “AU/NZ sites“).

In short

  • Your membership contract is with Wexler LLC, which runs AI Master Club and is the merchant of record. You pay Wexler.
  • Advantage Agency Pty Ltd is the authorised reseller and marketer of AI Master Club in Australia and New Zealand, and provides local support.
  • Prices are in US dollars (USD). Your bank may convert the amount and charge fees.
  • Monthly: cancel any time. You keep access until the end of the month you have already paid for, and you will not be charged again.
  • Annual: we will email you at least 30 days before your renewal. Cancel before the renewal date and you will not be charged for the next year. You keep access until the end of the year you have already paid for.
  • There is no cancellation fee.
  • This does not affect your rights under the Australian Consumer Law. If you are in New Zealand, this does not affect your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.
  • You must be 18 or over.

1. Who you are contracting with

1.1 Wexler. Your membership contract is with Wexler LLC, [Wexler LLC full legal entity details – confirm, e.g. a Virginia limited liability company], of [Wexler LLC registered address – confirm] (“Wexler“, “we“, “us“). Wexler owns and operates AI Master Club (the “Club“) and its member platform, and is the merchant of record for memberships. You pay Wexler, and Wexler supplies the membership.

1.2 Advantage. Advantage Agency Pty Ltd (ABN 67 651 440 952, ACN 651 440 952) of 12/13 Thompson St, Long Jetty NSW 2261, Australia (“Advantage“) is the exclusive authorised reseller and marketer of the Club in Australia and New Zealand. Advantage runs local marketing, webinars and events, AU/NZ community hosting and local member support. Kevin Spiteri is Advantage’s Head of Australia and New Zealand.

1.3 How they relate. Advantage and Wexler are independent businesses. Advantage is not Wexler’s agent, partner or joint venturer and cannot bind Wexler. Advantage does not supply the membership and does not take on Wexler’s obligations under these terms. This does not limit any responsibility Advantage has under the law for its own conduct.

1.4 “You” means the person who joins the Club.

2. The membership

2.1 AI Master Club is an online membership community for education about artificial intelligence in business. It includes live and recorded sessions, a content library, community spaces and member tools, as described on the AU/NZ sites from time to time.

2.2 You access the Club online, including through community.aimasterclub.com. Some live sessions run on United States time. Recordings are usually available to members afterwards. We will show session times in Australian or New Zealand time where we reasonably can.

2.3 We may update, add to or change Club content, sessions and features as the Club develops, but we will not reduce what you have paid for in a way that is significant without telling you, and you may cancel under clause 7.

2.4 The Club is education and general information only. It is not consulting, coaching for a particular result, or financial, legal, tax or other professional advice. Please see the AI Master Club ANZ Disclaimer.

3. Eligibility and your account

3.1 You must be 18 or over to join.

3.2 You must give accurate details when you join and keep them up to date.

3.3 A membership is for one person. Keep your login private and do not share it. Tell us promptly if you think your account has been compromised.

4. Prices, currency and taxes

4.1 Prices are in US dollars. All Club prices are in US dollars (USD). The current prices are:

  • Monthly: [US$89 per month]
  • Annual: [US$47 Month, Billed Annually [$564] per year

The price you pay is the total price shown at checkout for the plan you choose, in USD.

4.2 Taxes. [Confirm whether Wexler is registered for Australian GST / NZ GST and whether USD prices include GST.] [Draft wording if GST-registered: Prices include any Australian GST or New Zealand GST that applies. You will not be charged any extra tax at checkout.]

4.3 Currency conversion. Your card is charged in USD. If your card or account is in Australian dollars, New Zealand dollars or another currency, your bank or card provider may convert the amount and may charge a foreign transaction or currency conversion fee. The amount debited from your account may vary with the exchange rate. Those fees are set by your bank, not by us.

4.4 Payment. Payments are processed by [payment processor name – confirm, e.g. Stripe (Wexler account)]. Your card details are handled by the payment processor. Advantage never receives your card details. You authorise Wexler to charge your nominated payment method for each renewal until you cancel. If a payment fails, we may retry it and tell you. If it is still unpaid, we may pause access until it is paid.

4.5 Discount codes. We may issue private discount codes from time to time. They are not available to everyone and may have conditions, which will be shown when the code is offered. If you use a valid code, the price you pay is the price shown at checkout after the code is applied.

4.6 Receipts. Wexler will send you a receipt for each payment. [Confirm whether Wexler will issue tax invoices to GST-registered Australian businesses, and the process for business members to provide an ABN.]

5. Price changes

5.1 Wexler sets Club prices globally and may change them from time to time.

5.2 A price change will never apply to a period you have already paid for.

5.3 If the price of your plan is going to change, we will email you at least [30] days before the new price applies to your next renewal. The notice will tell you the new price and the date it applies.

5.4 If you do not want to continue at the new price, you can cancel before your next renewal under clause 7. There is no fee for cancelling, and you keep access until the end of the period you have already paid for.

6. Auto-renewal

6.1 Your membership is a subscription. It renews automatically at the end of each paid period until you cancel.

6.2 Monthly memberships renew each month at the current monthly price.

6.3 Annual memberships renew for another 12 months at the current annual price. We will email you a renewal reminder at least 30 days before each annual renewal date. The reminder will state the renewal date, the amount, and how to cancel.

7. Cancelling

7.1 How to cancel. You can cancel in your account at community.aimasterclub.com, or by contacting AU/NZ member support at [AIMC ANZ support contact email – confirm]. We will confirm your cancellation by email. It will never be harder to cancel than it was to join.

7.2 Monthly. You can cancel at any time. Your cancellation takes effect at the end of your current paid month. You keep access until then and will not be charged again.

7.3 Annual. You can cancel at any time so that your membership does not renew. You keep access until the end of the year you have already paid for and will not be charged for the next year.

7.4 No cancellation fee. There is no fee to cancel.

7.5 Refunds. Cancelling stops future charges. We do not give refunds simply because you change your mind or stop using the Club during a period you have paid for. This does not affect your rights under the Australian Consumer Law. If you are in New Zealand, this does not affect your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986. See clause 8.

7.6 Unsolicited sales. If your membership was sold to you in a way the Australian Consumer Law treats as an unsolicited consumer agreement (for example, through an uninvited phone call), you have the cooling-off rights that law gives you. Memberships you buy yourself on the website are not unsolicited consumer agreements.

8. Your consumer rights

8.1 Australia. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

8.2 New Zealand. If you are a consumer in New Zealand, you have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 that these terms do not exclude or limit.

8.3 How to raise a problem. Please contact AU/NZ member support first (clause 15). Advantage will help you and, where needed, pass your request to Wexler, which is responsible for supplying the membership and providing any refund or other remedy.

8.4 Chargebacks. You can always contact your bank or card provider. Please contact us first so we can try to fix the problem quickly. We may pause access while a payment dispute is being investigated.

9. Community rules

9.1 When using the Club, you must:

  • act lawfully and respectfully, and not harass, abuse, defame or discriminate against anyone;
  • not share your login or let anyone else use your membership;
  • not copy, scrape, download in bulk, resell or republish Club content, or use it to run a competing paid course or community;
  • not upload malware, spam, or content you do not have the right to share;
  • not post anyone else’s personal or confidential information (including your clients’) without their permission; and
  • follow any reasonable community guidelines we publish.

9.2 If we reasonably believe you have seriously breached these terms or the law, or need to protect members or the platform, we may remove content or suspend or end your membership. Where reasonable, we will tell you first and give you a chance to fix the problem. If we end your membership because of your serious breach, we will not refund the current paid period, except where the law requires.

9.3 If we end your membership for any other reason, or permanently close the Club, we will give you reasonable notice where we can and refund any prepaid fees for the unused part of your paid period.

10. Intellectual property

10.1 Club content. Wexler owns the Club platform, the AI Master Club name and logos, and all Club content, including sessions, recordings, materials and tools (or has the right to use them). Your membership gives you a personal, non-transferable, non-exclusive right to access and use Club content for your own learning, and for your organisation’s internal use, while you are a member. It does not transfer ownership or give you any right to sell or commercialise Club content.

10.2 Your content. You keep ownership of what you post. You give Wexler and Advantage a non-exclusive licence to host, display, store, moderate and archive your posts on the platform so the Club can run. You confirm that you have the right to post what you post.

10.3 Recordings. Sessions may be recorded and shared with members. If you take part in a recorded session (for example by speaking or turning your camera on), your name, image and comments may appear in the recording.

11. Third-party tools

The Club may discuss, demonstrate or link to third-party AI tools and services. They are not supplied by Wexler or Advantage, and your use of them is subject to their own terms and privacy policies.

12. Emails and messages

12.1 By joining, you agree to receive service messages about your membership, such as access, billing, renewal and session notices.

12.2 If you consent at sign-up or later, Wexler and Advantage may send you marketing messages about the Club. We will only send marketing messages in line with the Spam Act 2003 (Cth) and, for New Zealand members, the Unsolicited Electronic Messages Act 2007 (NZ). Each message will identify the sender and include a working unsubscribe option. You can unsubscribe at any time, and unsubscribing does not cancel your membership.

13. Privacy

We handle your personal information in line with the AI Master Club ANZ – Privacy Policy, which explains how Wexler and Advantage collect, use and share it, including disclosure to the United States.

14. Liability

14.1 Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law, the Consumer Guarantees Act 1993 (NZ), the Fair Trading Act 1986 (NZ), or any other law that cannot be excluded.

14.2 If the membership is not of a kind ordinarily acquired for personal, domestic or household use or consumption, then, to the extent the Australian Consumer Law allows, our liability for failing to comply with a consumer guarantee is limited to supplying the services again or paying the cost of having them supplied again. We will not rely on this limitation where it would not be fair or reasonable to do so.

14.3 Subject to clauses 14.1 and 14.2, and to the extent the law allows:

  • we are not liable for loss that was not reasonably foreseeable;
  • we are not liable for decisions you make, or results you get, from applying what you learn in the Club or from using third-party tools; and
  • our total liability to you in connection with your membership is limited to the membership fees you paid in the 12 months before the claim.

14.4 Clause 14.3 does not limit liability for fraud, or for death or personal injury caused by negligence.

15. Support and complaints

15.1 For help, or to make a complaint, contact AU/NZ member support (provided by Advantage) at [AIMC ANZ support contact email – confirm] or 12/13 Thompson St, Long Jetty NSW 2261. Advantage will work with Wexler to respond. We aim to respond within [5] business days.

15.2 If we cannot resolve your complaint, you can contact:

  • Australia: the ACCC (accc.gov.au) or your state or territory consumer protection agency (in NSW, NSW Fair Trading);
  • New Zealand: the Commerce Commission (comcom.govt.nz) or Consumer Protection (consumerprotection.govt.nz); and
  • for privacy complaints, the bodies listed in the Privacy Policy.

16. Changes to these terms

16.1 We may change these terms, for example to reflect changes in the law, how the Club is delivered, or our payment providers. We will post the updated terms on the AU/NZ sites.

16.2 If a change is material and could disadvantage you, we will email you at least [30] days before it applies. The change will apply from your next renewal after the notice period. If you do not agree, you can cancel before then under clause 7, with no fee, and keep access until the end of your paid period.

16.3 We will not use a change to these terms to take away your consumer rights, charge more for a period you have already paid for, or make cancelling harder.

17. Governing law and disputes

17.1 [These terms are governed by the law of New South Wales, Australia.] [Open decision – Wexler may prefer the law of Virginia, USA.]

17.2 Whatever law governs these terms, nothing in them removes any right you have under Australian or New Zealand consumer law that cannot be excluded. If you are a New Zealand consumer, the Consumer Guarantees Act 1993 (NZ) and the Fair Trading Act 1986 (NZ) continue to apply to you.

17.3 You can bring a claim in the courts or tribunals of the place where you live in Australia or New Zealand (for example, in NSW, the NSW Civil and Administrative Tribunal, or in New Zealand, the Disputes Tribunal), as well as any other court that has jurisdiction.

18. General

18.1 If any part of these terms is invalid, unenforceable or unfair under the law, it will be read down or removed, and the rest of these terms continue to apply.

18.2 Wexler may transfer this contract to a buyer or successor of the Club that agrees to provide the membership on these terms. Your rights under these terms and the law will not be reduced by the transfer. You may not transfer your membership without our agreement.

18.3 These terms, the price and plan shown at checkout, and the Privacy Policy are the whole agreement about your membership. If anything on a marketing page conflicts with these terms, these terms apply, but this does not limit your rights if a marketing statement was misleading.

18.4 We may send notices to the email address on your account.
